Terms of Service
These Terms govern access to and use of SoaRank.com, a GEO optimization service operated by MD5 Labs, Inc. for business users in North America and other permitted regions.
Important legal notice. These Terms include limitations of liability, warranty disclaimers, indemnity obligations, dispute-resolution provisions, and other terms that affect your legal rights.
1. Agreement to these Terms
These Terms of Service, together with any order form, plan terms, product rules, supplemental terms, and policies referenced in them, form a legally binding agreement between you and MD5 Labs, Inc., a Delaware corporation. “SoaRank,” “MD5 Labs,” “we,” “us,” and “our” mean MD5 Labs, Inc. “You” means the individual or entity accessing or using the Services.
These Terms apply when you visit or use https://www.soarank.com, create an account, run a GEO diagnosis, use reports, interact with AI features, publish or manage generated websites, connect crawler analytics or referral tools, receive support, or purchase a plan.
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and that organization is responsible for your use.
2. The Services
SoaRank provides Generative Engine Optimization, or GEO, tools that help businesses understand and improve how their brands, products, and services appear in AI-powered answer engines, AI search systems, and other generative platforms. Features may include brand diagnostics, visibility scoring, competitive analysis, recommendations, AI-assisted content generation, generated brand sites or landing pages, crawler analytics, referral beacons, IndexNow or search-indexing integrations, outreach drafts, dashboards, reports, and AI assistant features.
Features may vary by plan, market, language, availability, region, account type, and product configuration. We may add, modify, suspend, discontinue, rename, or limit features at any time. We do not guarantee that any feature will remain available or that any report, ranking, score, citation, traffic, conversion, revenue, or AI-answer outcome will be achieved.
3. Eligibility and business use
The Services are intended for business and professional use, not personal, household, or consumer use. You must be legally able to enter into a binding contract. You may not use the Services if you are under 13, if you are barred from using them under applicable law, or if your use would violate trade, sanctions, export-control, privacy, advertising, or other laws.
If you are located in Canada or the United States, you are responsible for complying with all federal, state, provincial, territorial, and local laws that apply to your use of the Services, including laws relating to privacy, consumer protection, marketing, advertising claims, intellectual property, anti-spam, and unfair or deceptive practices.
4. Accounts and security
You must provide accurate account information, maintain a valid email address, and keep account details current. You are responsible for all activity under your account, workspace, API credentials, integrations, domains, and users you invite. You must keep login credentials, tokens, and devices secure and notify us promptly if you believe your account has been compromised.
We may refuse, suspend, disable, or terminate accounts that violate these Terms, pose a security or legal risk, create operational burden, are inactive, or are used in a manner that may harm SoaRank, our vendors, customers, or third parties.
5. Customer Content
“Customer Content” means content, data, materials, prompts, brand information, URLs, websites, copy, files, images, claims, competitors, customer-site data, instructions, feedback, and other information that you or your users submit, upload, import, connect, generate, publish, or otherwise provide through the Services.
You retain ownership of Customer Content, subject to any rights held by third parties. You grant MD5 Labs a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, perform, modify, transform, analyze, create derivative works from, and otherwise use Customer Content as reasonably necessary to provide, secure, support, improve, and operate the Services, including to generate reports and outputs, maintain history, process payments or support requests, comply with law, and use vendors and subprocessors.
You represent and warrant that you have all rights, permissions, consents, notices, and legal bases needed to provide Customer Content to SoaRank and to authorize the processing described in these Terms and the Privacy Policy.
6. AI features, reports, and generated output
SoaRank uses automated systems, machine-learning models, third-party model providers, and generative-AI tools to produce diagnoses, scores, recommendations, messages, articles, images, drafts, generated pages, and other outputs. AI and GEO outputs are probabilistic and may be inaccurate, incomplete, biased, outdated, duplicative, offensive, or unsuitable for your use case.
You are responsible for reviewing and approving all outputs before using, relying on, publishing, distributing, or making decisions based on them. SoaRank does not provide legal, financial, tax, medical, security, investment, employment, or other regulated professional advice. You should not treat any output as a substitute for professional judgment.
Subject to your compliance with these Terms, we permit you to use outputs generated for your account for your internal business purposes and customer-facing marketing purposes. We do not guarantee that outputs are unique, protectable, non-infringing, accurate, or that similar outputs will not be generated for others. Your rights in outputs may also be subject to third-party model-provider terms, open-source licenses, stock-media restrictions, platform policies, and applicable law.
7. Generated websites, publishing, and indexing
The Services may allow you to generate, edit, publish, unpublish, or host websites, landing pages, articles, directories, schema markup, or other public content. Drafts may remain private until published. Published content may be publicly accessible through a SoaRank-provided hostname, a customer-configured domain, search engines, AI crawlers, archives, caches, social previews, and third-party services.
You are solely responsible for published content, including accuracy, ownership, intellectual-property clearance, privacy notices, cookie notices, marketing claims, testimonials, endorsements, regulated-industry statements, contact details, offers, and compliance with laws that apply to your business. If you unpublish or delete content, copies may remain in search-engine indexes, AI systems, browser caches, archives, customer domains, or third-party services until those systems update.
If you enable IndexNow, sitemap, crawler, analytics, referral beacon, or similar features, you authorize us to submit URLs, metadata, or events to search engines, AI-search systems, analytics endpoints, or other configured recipients to deliver the feature.
8. Customer websites, beacons, and end-user data
If you install, embed, or configure SoaRank scripts, beacons, pixels, crawler analytics, plugins, referral tools, API calls, or similar technologies on a website or property you control, you are responsible for all notices, consent mechanisms, opt-out mechanisms, cookie disclosures, privacy disclosures, data-processing terms, and legal bases required for your visitors, customers, employees, or other end users.
For customer-site data that we process on your behalf, MD5 Labs acts as your service provider, processor, or similar role to the extent required by applicable law and any signed data processing agreement. You must not use customer-site tools in a manner that unlawfully collects sensitive data, children’s data, precise location, payment data, health data, or other restricted information.
9. Acceptable use
You agree not to, and not to allow others to:
- use the Services for unlawful, harmful, deceptive, fraudulent, abusive, defamatory, obscene, hateful, discriminatory, violent, or infringing purposes;
- submit, generate, publish, or distribute content that violates law, third-party rights, platform policies, confidentiality duties, privacy rights, or advertising rules;
- send spam, unlawful marketing messages, unsolicited bulk communications, misleading outreach, or messages that violate CAN-SPAM, CASL, TCPA, platform rules, or similar laws;
- scrape, crawl, harvest, or collect data from SoaRank except as expressly allowed by us in writing;
- probe, scan, test, overload, disrupt, reverse engineer, bypass security, bypass plan limits, abuse free trials, or interfere with the Services or our vendors;
- upload malware, exploit code, credentials you are not authorized to share, regulated secrets, or sensitive personal information not needed for the Services;
- misrepresent AI-generated content, impersonate others, create fake authority, deceive users about sponsorship, endorsement, or origin, or manipulate AI/search systems in a way that violates third-party rules;
- resell, sublicense, white-label, timeshare, or provide the Services to third parties except under a written agreement or an expressly permitted plan;
- use the Services to develop a competing product by benchmarking, copying, or reverse engineering non-public features.
We may investigate suspected violations and remove content, throttle, suspend, or terminate access where we reasonably believe necessary to protect SoaRank, users, vendors, third parties, or legal compliance.
10. Plans, trials, payment, taxes, and renewals
Paid features may be offered through subscriptions, credits, usage-based charges, one-time purchases, enterprise orders, trials, or promotional offers. The applicable price, billing cycle, usage limits, brand limits, included features, renewal terms, and cancellation options are those presented at checkout, in the product, or in an applicable order form.
Payments may be processed by Stripe or another payment processor. By purchasing, you authorize us and our payment processor to charge the payment method you provide for fees, renewals, overages, taxes, and other amounts due. You are responsible for applicable taxes, duties, levies, and governmental charges unless we are required to collect them.
Unless otherwise stated in the purchase flow, required by law, or agreed in writing, fees are non-cancellable and non-refundable once the paid period begins. If payment fails, if you dispute charges improperly, or if your account becomes past due, we may suspend or downgrade paid features, stop or delete paid instances after notice where reasonable, restrict publishing, or terminate the account.
We may change prices, plan packaging, limits, or included features for future periods. We will provide notice where required. Continued use after a renewal or price change takes effect means you accept the updated commercial terms, subject to applicable law.
11. Beta, free, and evaluation features
We may offer free, beta, preview, experimental, or evaluation features. These features may be limited, changed, discontinued, or made paid at any time. They may be less reliable and are provided for evaluation only unless we state otherwise. We may delete beta or evaluation data after a trial or feature period ends.
12. Third-party services and integrations
The Services may integrate with or rely on third-party services, including Google, Stripe, AI model providers, hosting providers, email services, analytics, search engines, domain providers, customer websites, and other tools. Third-party services are not controlled by MD5 Labs and may be governed by their own terms, privacy policies, pricing, usage limits, and availability.
You authorize us to send and receive information with third-party services you connect or use through SoaRank as needed to provide the relevant feature. We are not responsible for third-party outages, model changes, policy changes, rate limits, security incidents, content decisions, indexing decisions, or acts or omissions.
13. Intellectual property
MD5 Labs and its licensors own all rights, title, and interest in and to SoaRank, including software, interfaces, design, workflows, databases, templates, documentation, product names, logos, marks, analytics methods, non-customer datasets, and underlying technology. Except for the limited right to use the Services during your subscription or permitted access period, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as allowed by law or expressly permitted in writing. If you provide feedback, suggestions, bug reports, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
14. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Services. Confidentiality obligations do not apply to information that is public, already known without duty, independently developed, or lawfully received from a third party.
You should not submit trade secrets, regulated data, or highly confidential information unless necessary for your use of the Services and unless you have authority to do so.
15. Privacy and data protection
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. If these Terms and the Privacy Policy conflict on a privacy topic, the Privacy Policy controls for that topic. If you need enterprise data-processing terms, contact us. A signed data processing agreement controls over these Terms for covered processing to the extent of a conflict.
16. Compliance with laws
You are responsible for using the Services in compliance with laws and regulations that apply to you, your business, your industry, your content, your customers, and your marketing activities. This includes laws relating to privacy, data protection, cookies, anti-spam, telemarketing, endorsements, testimonials, intellectual property, unfair competition, consumer protection, regulated industries, accessibility, export control, sanctions, and advertising substantiation.
You may not use the Services in embargoed or sanctioned jurisdictions or by sanctioned parties where prohibited by U.S. law. You may not export, re-export, or transfer the Services or related technology in violation of export-control or sanctions laws.
17. Disclaimers
THE SERVICES, REPORTS, OUTPUTS, AI FEATURES, GENERATED CONTENT, GENERATED WEBSITES, SCORES, RECOMMENDATIONS, AND THIRD-PARTY INTEGRATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MD5 LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
We do not warrant that the Services will be uninterrupted, error-free, secure, compatible with all systems, compliant with every law for your particular use, or that any AI answer engine, search engine, or third-party platform will index, cite, recommend, rank, or display your brand in any particular way.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MD5 LABS AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND VENDORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST GOODWILL; LOSS OF DATA; BUSINESS INTERRUPTION; REPUTATIONAL HARM; OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO MD5 LABS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) US$100.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law.
19. Indemnification
You will defend, indemnify, and hold harmless MD5 Labs and its affiliates, directors, officers, employees, contractors, agents, licensors, and vendors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: Customer Content; generated websites or published content; your products, services, marketing claims, or customer relationships; your use or misuse of the Services; your violation of these Terms; your violation of law or third-party rights; or data you submit, collect, or process through customer-site tools.
20. Suspension and termination
You may stop using the Services at any time. You may cancel or close your account as available in the product or by contacting us. Cancellation does not automatically entitle you to a refund unless required by law or stated in the purchase flow.
We may suspend, restrict, or terminate access to the Services, remove content, disable publishing, or stop integrations if we reasonably believe that you violated these Terms, created legal or security risk, failed to pay amounts due, abused trials, caused operational harm, or if continued service would expose us or others to risk. We may also discontinue the Services or any part of them with notice where reasonable.
After termination, your right to use the Services ends. Sections that by their nature should survive will survive, including sections relating to Customer Content licenses needed for wind-down, AI outputs, payment obligations, intellectual property, confidentiality, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms.
21. DMCA and intellectual-property complaints
If you believe content on SoaRank infringes your copyright or other intellectual-property rights, please contact us with sufficient information to identify the allegedly infringing material, your rights, your contact information, and the action you request. We may remove or disable content and may terminate repeat infringers where appropriate.
22. Dispute resolution, arbitration, and class-action waiver
Please contact us first so we can try to resolve any dispute informally. If a dispute cannot be resolved informally, any claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except for claims that may be brought in small-claims court and claims for injunctive or equitable relief relating to intellectual property, unauthorized access, or misuse of the Services.
To the extent permitted by law, you and MD5 Labs waive the right to a jury trial and the right to participate in a class action, class arbitration, private attorney general action, or representative proceeding. Arbitration will be conducted in English by a neutral arbitrator under commercially reasonable arbitration rules selected by MD5 Labs unless the parties agree otherwise. The seat and venue for arbitration will be Delaware, United States, unless applicable law requires another location.
If this arbitration or class-waiver section is found unenforceable for a particular claim, that claim may proceed in court, but only to the extent required by law.
23. Governing law and venue
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules, except where applicable law requires otherwise. For claims that are not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, United States, unless applicable law requires another forum.
24. Changes to these Terms
We may update these Terms from time to time. The effective date above indicates the current version. If a change is material, we may provide notice through the website, product, email, or another appropriate method. Continued use of the Services after updated Terms become effective means you accept the updated Terms, subject to applicable law. If you do not agree, you must stop using the Services.
25. General terms
You may not assign these Terms without our prior written consent, except as part of a merger, acquisition, corporate reorganization, or sale of substantially all assets. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. These Terms do not create any agency, partnership, joint venture, employment, fiduciary, or franchise relationship.
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms, together with referenced policies and any applicable order form or written agreement, are the entire agreement between you and MD5 Labs regarding the Services.

3. 资格和商业使用
服务仅供企业和专业用途，不供个人、家庭或消费者使用。你必须具有订立有约束力合同的资格、不得未满 13 岁、不得被适用法律禁止使用服务，也不得以违反贸易、制裁、出口管制、隐私、广告或其他法律的方式使用服务。美国和加拿大用户须遵守适用的联邦、州、省、地区和地方法律。
4. 账户和安全

5. 客户内容
“客户内容”是指你或你的用户通过服务提交、上传、导入、连接、生成、发布或以其他方式提供的内容、数据、资料、提示词、品牌信息、网址、网站、文案、文件、图片、主张、竞品、客户网站数据、指令、反馈及其他信息。
在第三方权利约束下，你保留客户内容所有权。你授予 MD5 Labs 全球、非独占、免版税许可，使我们可在合理必要范围内托管、存储、复制、处理、传输、展示、执行、修改、转换、分析、创建衍生作品及以其他方式使用客户内容，用于提供、保护、支持、改善和运行服务，包括生成报告和输出、维护历史、处理付款或支持请求、遵守法律以及使用供应商和次级处理者。
你声明并保证已取得提供客户内容及授权本条款和隐私政策所述处理所需的一切权利、许可、同意、通知和法律依据。
6. AI 功能、报告和生成输出
SoaRank 使用自动化系统、机器学习模型、第三方模型提供商和生成式 AI 工具生成诊断、分数、建议、消息、文章、图片、草稿、页面和其他输出。AI 和 GEO 输出具有概率性，可能不准确、不完整、有偏见、过时、重复、令人反感或不适合你的场景。
在使用、依赖、发布、分发输出或据其作出决定前，你须审查并批准所有输出。SoaRank 不提供法律、金融、税务、医疗、安全、投资、雇佣或其他受监管专业意见。在遵守条款的前提下，你可将为账户生成的输出用于内部业务和面向客户的营销；我们不保证输出唯一、可受保护、不侵权、准确或不会为他人生成类似输出。第三方模型条款、开源许可、素材限制、平台政策和法律可能同样适用。
7. 生成网站、发布和索引
服务可让你生成、编辑、发布、取消发布或托管网站、落地页、文章、目录、结构化数据和其他公开内容。草稿可在发布前保持私密；已发布内容可能通过 SoaRank 提供的主机名、客户配置域名、搜索引擎、AI 爬虫、存档、缓存、社交预览和第三方服务公开访问。
你对已发布内容承担全部责任，包括准确性、所有权、知识产权清权、隐私和 cookie 通知、营销主张、推荐语、背书、受监管行业声明、联系方式、报价及法律合规。取消发布或删除后，副本可在索引、AI 系统、缓存、存档、客户域名或第三方服务中保留至其更新。启用 IndexNow、站点地图、爬虫、分析、信标或类似功能，即授权我们向配置的接收方提交网址、元数据或事件。
8. 客户网站、信标和终端用户数据
在你控制的网站或资产上安装、嵌入或配置 SoaRank 脚本、信标、像素、爬虫分析、插件、引荐工具、API 调用或类似技术时，你负责为访客、客户、员工或其他终端用户提供所需通知、同意和退出机制、cookie 和隐私披露、数据处理条款及合法依据。对于代表你处理的数据，MD5 Labs 按适用法律和已签署的数据处理协议担任服务提供商、处理者或类似角色。不得违法收集敏感、儿童、精确位置、付款、健康或其他受限数据。
9. 可接受使用
你不得，也不得允许他人：将服务用于违法、有害、欺骗、欺诈、滥用、诽谤、淫秽、仇恨、歧视、暴力或侵权目的；提交、生成、发布或分发违反法律、第三方权利、平台政策、保密义务、隐私权或广告规则的内容；发送垃圾信息、违法营销信息、未经请求的大量通信或违反 CAN-SPAM、CASL、TCPA 或类似法律的信息；未经书面许可抓取、爬取、收集 SoaRank 数据；探测、扫描、测试、过载、干扰、逆向工程、绕过安全或套餐限制、滥用试用或干扰服务或供应商；上传恶意软件、利用代码、无权分享的凭据、受监管秘密或服务不需要的敏感信息；虚假陈述 AI 内容、冒充他人、伪造权威、欺骗用户来源、赞助或背书，或以违反第三方规则的方式操纵 AI/搜索系统；未经书面协议或许可套餐转售、再许可、白标、分时使用或向第三方提供服务；或通过对非公开功能进行基准测试、复制或逆向工程开发竞争产品。
我们可调查疑似违规，并在合理认为保护 SoaRank、用户、供应商、第三方或法律合规所必需时移除内容、限流、暂停或终止访问。
10. 套餐、试用、付款、税费和续费
付费功能可通过订阅、额度、按使用量收费、一次性购买、企业订单、试用或促销提供。适用价格、计费周期、使用及品牌限制、包含功能、续费条款和取消选项以结账、产品或订单表单显示为准。
Stripe 或其他支付处理方可能处理付款。购买即授权我们及处理方对你提供的支付方式收取费用、续费、超额费用、税费和其他应付款；除非我们依法须代收，你负责适用的税、关税、征费和政府收费。除非购买流程另有说明、法律要求或书面约定，付费期开始后费用不可取消且不可退款。付款失败、不当争议账单或账户逾期时，我们可在合理通知后暂停或降级付费功能、停止或删除付费实例、限制发布或终止账户。我们可为未来期间变更价格、套餐、限制或功能，并在要求时提供通知。
11. 测试、免费和评估功能
免费、测试、预览、实验或评估功能可能随时受到限制、变更、停止或转为付费，可靠性可能较低；除非另有说明，仅供评估使用。试用或功能期结束后，我们可删除相关数据。
12. 第三方服务和集成
服务可集成或依赖 Google、Stripe、AI 模型提供商、托管、邮件、分析、搜索引擎、域名提供商、客户网站和其他工具。其不受 MD5 Labs 控制，可能受自身条款、隐私政策、定价、限制和可用性约束。你授权我们为提供相应功能而与所连接或使用的第三方收发信息。我们不对第三方停机、模型或政策变更、速率限制、安全事件、内容或索引决定或其作为与不作为负责。
13. 知识产权
MD5 Labs 及其许可方拥有 SoaRank 的全部权利、所有权和利益，包括软件、界面、设计、工作流、数据库、模板、文档、产品名称、徽标、商标、分析方法、非客户数据集和底层技术。除订阅或允许访问期间使用服务的有限权利外，任何权利均不转让。除法律允许或书面明确许可外，你不得复制、修改、分发、出售、出租、逆向工程或创建服务衍生作品。你提供的反馈、建议、错误报告或想法授予我们永久、不可撤销、全球、免版税许可，可不受限制且无需补偿地使用。
14. 保密
各方可能从另一方收到标明保密或合理应理解为保密的非公开信息。接收方将以合理谨慎保护该信息，并仅用于与服务有关的目的。公开、已在无义务情况下知悉、独立开发或从第三方合法取得的信息不受此义务约束。除非对服务必要且有权提供，请勿提交商业秘密、受监管数据或高度机密信息。
15. 隐私和数据保护
隐私政策说明我们如何收集、使用、披露、保存和保护个人信息；在隐私事项上与本条款冲突时，以隐私政策为准。企业数据处理条款请联系我们；已签署的数据处理协议在受覆盖处理的冲突范围内优先。
16. 遵守法律
你负责遵守适用于你、你的企业、行业、内容、客户和营销活动的法律法规，包括隐私、数据保护、cookie、反垃圾信息、电话营销、背书、推荐语、知识产权、不正当竞争、消费者保护、受监管行业、无障碍、出口管制、制裁和广告证实。美国法律禁止时，不得在受禁运或制裁司法辖区使用服务，或由受制裁方使用；也不得违反出口管制或制裁法出口、再出口或转移服务或相关技术。
17. 免责声明
服务、报告、输出、AI 功能、生成内容、生成网站、分数、建议和第三方集成均按“现状”和“可用”提供。在法律允许的最大范围内，MD5 Labs 不作任何明示、默示、法定或其他保证，包括适销性、特定用途适用性、所有权、不侵权、安宁享有、准确性、可用性、安全性和结果保证。我们不保证服务不间断、无错误、安全、与所有系统兼容、符合你的特定用途所适用的所有法律，也不保证任何 AI 问答引擎、搜索引擎或第三方会以特定方式索引、引用、推荐、排名或展示你的品牌。
18. 责任限制
在法律允许的最大范围内，MD5 Labs 及其关联方、董事、高管、员工、承包商、代理人、许可方和供应商不对间接、附带、特殊、后果性、惩戒性、惩罚性或加重损害，利润、收入、业务、商誉或数据损失，业务中断、声誉损害或替代服务成本负责，即使已被告知可能发生该等损害。

19. 赔偿
你将为因客户内容、生成网站或已发布内容、你的产品、服务、营销主张或客户关系、你对服务的使用或滥用、违反本条款、法律或第三方权利，或通过客户网站工具提交、收集或处理的数据引起的索赔、损害、责任、损失、成本和费用（包括合理律师费）进行抗辩、赔偿并使 MD5 Labs 及其关联方、董事、高管、员工、承包商、代理人、许可方和供应商免责。
20. 暂停和终止
你可随时停止使用服务，并可按产品提供的方式或联系我们取消或关闭账户；取消不当然意味着有权退款，除非法律要求或购买流程说明。我们可在合理认为你违反条款、造成法律或安全风险、未付款、滥用试用、造成运营损害或继续服务会使我们或他人面临风险时暂停、限制或终止访问，移除内容、禁用发布或停止集成；也可在合理通知后停止全部或部分服务。终止后，使用服务的权利终止；按性质应继续有效的条款，包括为收尾所需的客户内容许可、AI 输出、付款义务、知识产权、保密、隐私、免责声明、责任限制、赔偿、争议解决和通用条款，继续有效。
21. DMCA 和知识产权投诉
认为 SoaRank 内容侵犯版权或其他知识产权时，请联系我们，并提供足以识别涉嫌侵权材料、你的权利、联系方式和所请求行动的信息。我们可移除或禁用内容，并在适当时终止重复侵权者。
22. 争议解决、仲裁和集体诉讼放弃
请先联系我们，以便非正式解决争议。无法非正式解决的、由本条款或服务引起或相关的索赔，均应以个人方式通过有约束力仲裁解决；小额法庭可提起的索赔及有关知识产权、未授权访问或滥用服务的禁令或衡平救济除外。在法律允许的范围内，你和 MD5 Labs 放弃陪审团审判和参加集体诉讼、集体仲裁、私人检察总长诉讼或代表性程序的权利。仲裁由中立仲裁员以英语并按 MD5 Labs 选择的商业上合理仲裁规则进行，除非双方另有约定；仲裁地和地点为美国特拉华州，除非适用法律要求其他地点。该条款对特定索赔不可执行时，该索赔可仅在法律要求的范围内进入法院。
23. 准据法和管辖地
除适用法律另有要求外，本条款受特拉华州法律和适用的美国联邦法律管辖，不适用法律冲突规则。未受仲裁约束的索赔由特拉华州的州和联邦法院专属管辖和审理，除非适用法律要求其他法院。
24. 本条款的变更

25. 通用条款

2. 本サービス
SoaRank は、企業がブランド、製品、サービスが AI 回答エンジン、AI 検索、生成プラットフォームにどのように表示されるかを理解・改善するための Generative Engine Optimization（GEO）ツールを提供します。ブランド診断、可視性スコア、競合分析、推奨、AI 支援コンテンツ、生成サイト、クローラー分析、リファラルビーコン、IndexNow または検索インデックス連携、アウトリーチ下書き、ダッシュボード、レポート、アシスタントを含む場合があります。
機能はプラン、市場、言語、可用性、地域、アカウント種別、構成により異なります。当社は機能を追加、変更、停止、終了、名称変更または制限できます。レポート、順位、スコア、引用、トラフィック、コンバージョン、収益または AI 回答の結果を保証しません。
3. 資格と事業利用
本サービスは個人、家庭または消費者向けではなく、事業および専門的用途を目的とします。お客様は拘束力のある契約を締結でき、13歳未満でなく、適用法により利用を禁じられておらず、貿易、制裁、輸出管理、プライバシー、広告その他の法令に違反して利用してはなりません。米国またはカナダにいるお客様は、適用される連邦、州、省、準州および地方の法令を遵守する責任があります。
4. アカウントとセキュリティ
正確かつ最新のアカウント情報と有効なメールアドレスを提供してください。アカウント、ワークスペース、API 資格情報、連携、ドメインおよび招待ユーザーで行われるすべての活動はお客様の責任です。資格情報、トークン、端末を安全に保ち、侵害が疑われる場合は速やかに通知してください。規約違反、法的または安全上のリスク、運用負担、非活動、または SoaRank、ベンダー、顧客、第三者への損害のおそれがあるアカウントを、当社は拒否、停止、無効化または終了できます。
5. 顧客コンテンツ
「顧客コンテンツ」とは、お客様または利用者が本サービスを通じて提出、アップロード、インポート、接続、生成、公開その他提供するコンテンツ、データ、資料、プロンプト、ブランド情報、URL、ウェブサイト、文案、ファイル、画像、主張、競合、顧客サイトデータ、指示、フィードバックその他の情報をいいます。
第三者の権利に従うことを前提に、顧客コンテンツの所有権はお客様に残ります。お客様は、レポート・出力の生成、履歴保持、決済・サポート、法令遵守、ベンダーおよび再委託先の利用を含め、本サービスの提供、保護、サポート、改善、運営に合理的に必要な範囲で、顧客コンテンツをホスト、保存、複製、処理、送信、表示、実行、修正、変換、分析、派生物作成その他利用する、全世界的、非独占的、ロイヤルティフリーのライセンスを MD5 Labs に付与します。
お客様は、顧客コンテンツを提供し、本規約およびプライバシーポリシーに記載の処理を許可するために必要な権利、許可、同意、通知、法的根拠をすべて有することを表明し保証します。
6. AI 機能、レポートおよび生成出力
自動システム、機械学習モデル、第三者モデル提供者、生成 AI ツールにより、診断、スコア、推奨、メッセージ、記事、画像、下書き、生成ページその他の出力が作成されます。AI および GEO の出力は確率的であり、不正確、不完全、偏り、古さ、重複、不快さ、または用途に不適切な場合があります。
利用、依拠、公開、配布または判断の前に、すべての出力を確認し承認する責任はお客様にあります。SoaRank は法務、金融、税務、医療、セキュリティ、投資、雇用その他の規制専門助言を提供しません。規約を遵守する限り、アカウント用に生成された出力を社内事業および顧客向けマーケティングに利用できますが、出力の一意性、保護可能性、非侵害性、正確性または他者に類似出力が生成されないことは保証しません。第三者のモデル条件、オープンソースライセンス、ストック媒体制限、プラットフォームポリシーおよび法令が適用される場合があります。
7. 生成サイト、公開およびインデックス
本サービスでは、サイト、ランディングページ、記事、ディレクトリ、スキーママークアップその他の公開コンテンツを生成、編集、公開、非公開化またはホストできます。下書きは公開まで非公開の場合があります。公開コンテンツは SoaRank 提供ホスト名、顧客設定ドメイン、検索エンジン、AI クローラー、アーカイブ、キャッシュ、ソーシャルプレビュー、第三者サービスを通じて公開アクセス可能になる場合があります。
公開内容の正確性、所有権、知的財産のクリアランス、プライバシー・cookie 通知、マーケティング上の主張、推薦文、推奨、規制業種に関する表明、連絡先、オファーおよび法令遵守について、お客様が単独で責任を負います。削除・非公開後も、インデックス、AI システム、キャッシュ、アーカイブ、ドメイン、第三者サービスにその更新までコピーが残る場合があります。IndexNow、サイトマップ、クローラー、分析、ビーコン等を有効にすると、機能提供のため URL、メタデータ、イベントを設定済み受領者へ送信することを許可したものとします。
8. 顧客サイト、ビーコンおよびエンドユーザーデータ
お客様が管理するウェブサイト・資産に SoaRank のスクリプト、ビーコン、ピクセル、クローラー分析、プラグイン、リファラルツール、API 呼び出しその他類似技術を導入、埋め込み、設定する場合、訪問者、顧客、従業員その他のエンドユーザーについて必要な通知、同意・オプトアウト手段、cookie・プライバシー開示、データ処理条件および法的根拠のすべてはお客様の責任です。お客様に代わって処理する顧客サイトデータについて、MD5 Labs は適用法および署名済みデータ処理契約の範囲でサービスプロバイダー、処理者等として行動します。機微データ、児童データ、正確な位置情報、決済データ、健康データその他制限情報を不法に収集してはなりません。
9. 許容される利用
お客様は、自らまたは他者に、違法、有害、欺瞞的、詐欺的、虐待的、名誉毀損的、わいせつ、憎悪、差別的、暴力的、侵害的目的でのサービス利用、法令・第三者権利・プラットフォーム規則・守秘義務・プライバシー権・広告規則に違反する内容の提出・生成・公開・配布、スパムや違法なマーケティング、不招請一斉通信、CAN-SPAM、CASL、TCPA 等に違反する通信、当社の書面許可のない SoaRank データのスクレイピング・クローリング・収集、探査・スキャン・テスト・過負荷・妨害・リバースエンジニアリング・セキュリティやプラン制限の回避・トライアル濫用・ベンダーへの妨害、マルウェア・エクスプロイトコード・権限なく共有する資格情報・規制上の秘密・不要な機微情報のアップロード、AI 生成内容の虚偽表示、なりすまし、虚偽の権威、スポンサー・推奨・出所に関する欺瞞、第三者ルールに違反する AI/検索システムの操作、書面契約または許可プラン外での再販・サブライセンス・ホワイトラベル・タイムシェア・第三者提供、または非公開機能のベンチマーク、複製、リバースエンジニアリングによる競合製品開発をしてはなりません。
当社は違反の疑いを調査し、SoaRank、利用者、ベンダー、第三者または法令遵守を保護するため合理的に必要と判断する場合、コンテンツ削除、スロットリング、停止または終了を行えます。
10. プラン、トライアル、支払い、税および更新
有料機能はサブスクリプション、クレジット、従量料金、一回購入、企業注文、トライアルまたはプロモーションで提供されることがあります。価格、請求周期、利用・ブランド上限、含まれる機能、更新条件、解約方法は、チェックアウト、製品または注文書で提示される内容によります。
Stripe その他の決済処理者が支払いを処理する場合があります。お客様は、料金、更新、超過分、税その他の支払額を、提供した支払方法に請求することを当社および処理者に許可します。当社が徴収義務を負う場合を除き、適用される税、関税、賦課金、政府料金はお客様の負担です。購入フロー、法令または書面合意に別段の定めがない限り、有料期間開始後の料金は取消不能かつ返金不可です。支払失敗、不適切な異議申立て、延滞等の場合、合理的な通知のうえ有料機能の停止・ダウングレード、公開制限、インスタンスの停止・削除、アカウント終了を行うことがあります。将来期間の価格、パッケージ、制限、機能を変更でき、必要な場合に通知します。
11. ベータ、無料および評価機能
無料、ベータ、プレビュー、実験、評価機能は、いつでも制限、変更、終了、有料化される場合があります。信頼性が低い場合があり、別段の表示がなければ評価のみを目的とします。トライアルまたは機能期間終了後、関連データを削除する場合があります。
12. 第三者サービスと連携
本サービスは Google、Stripe、AI モデル提供者、ホスティング、メール、分析、検索エンジン、ドメイン提供者、顧客サイトその他のツールと連携または依存する場合があります。これらは MD5 Labs が管理せず、独自の規約、プライバシーポリシー、価格、制限および可用性に従う場合があります。お客様は、関連機能を提供するため必要な情報を、接続・利用する第三者サービスと送受信することを当社に許可します。第三者の障害、モデル・ポリシー変更、レート制限、セキュリティ事象、コンテンツ・インデックス決定、作為・不作為について当社は責任を負いません。
13. 知的財産
MD5 Labs およびライセンサーは、ソフトウェア、インターフェース、デザイン、ワークフロー、データベース、テンプレート、文書、製品名、ロゴ、標章、分析手法、非顧客データセット、基盤技術を含む SoaRank に関する一切の権利、権原および利益を保有します。許可されたアクセス期間中にサービスを利用する限定的権利を除き、権利は移転しません。法令または書面による許可を除き、サービスの複製、修正、頒布、販売、賃貸、リバースエンジニアリング、派生物作成を行えません。フィードバック、提案、バグ報告、アイデアを提供した場合、当社はそれを制限・補償なく利用できる、永続的、取消不能、全世界的、ロイヤルティフリーのライセンスを得ます。
14. 秘密保持
各当事者は、相手方から秘密と表示された、または合理的に秘密と理解される非公開情報を受け取る場合があります。受領者は合理的な注意で保護し、本サービスに関する目的にのみ使用します。公知の情報、義務なく既知の情報、独自に開発された情報、第三者から適法に取得した情報には秘密保持義務は適用されません。必要かつ権限がある場合を除き、営業秘密、規制データ、高度に機密な情報を提出しないでください。
15. プライバシーとデータ保護
プライバシーポリシーは個人情報の収集、利用、開示、保持、保護を説明し、プライバシー事項で本規約と矛盾する場合はプライバシーポリシーが優先します。企業向けデータ処理条件が必要な場合はご連絡ください。署名済みデータ処理契約は、対象となる処理について矛盾する限度で本規約に優先します。
16. 法令遵守
お客様は、自身、事業、業界、コンテンツ、顧客、マーケティング活動に適用されるプライバシー、データ保護、cookie、反スパム、電話勧誘、推奨・推薦、知的財産、不正競争、消費者保護、規制産業、アクセシビリティ、輸出管理、制裁、広告立証等の法令・規制を遵守する責任を負います。米国法で禁止される制裁・禁輸地域または制裁対象者による利用、輸出管理・制裁法に違反するサービス・関連技術の輸出、再輸出、移転は禁止されます。
17. 免責
本サービス、レポート、出力、AI 機能、生成コンテンツ、生成サイト、スコア、推奨、第三者連携は「現状有姿」かつ「提供可能な状態」で提供されます。法令が許す最大限の範囲で、MD5 Labs は商品性、特定目的適合性、権原、非侵害、平穏享有、正確性、可用性、セキュリティ、結果を含む明示・黙示・法定その他すべての保証を否認します。当社は、サービスが中断なく、エラーなく、安全に、すべてのシステムと互換し、特定の利用に適用されるすべての法令に適合すること、また AI 回答エンジン、検索エンジン、第三者が特定の方法でブランドをインデックス、引用、推奨、順位付け、表示することを保証しません。
18. 責任制限
法令が許す最大限の範囲で、MD5 Labs およびその関連会社、取締役、役員、従業員、請負業者、代理人、ライセンサー、ベンダーは、間接、付随的、特別、結果的、懲罰的、制裁的または拡張的損害、逸失利益・収益・事業・信用・データ、事業中断、評判損害、代替サービス費用について、当該損害の可能性を知らされていた場合でも責任を負いません。
本サービスまたは本規約に関するすべての請求について当社の総責任額は、責任原因となる事象の前3か月間に、お客様が当該サービスについて MD5 Labs に支払った金額、または100米ドルのいずれか大きい方を超えません。特定の除外・制限を認めない地域では、法令が許す最大限にのみ適用されます。法令で制限できない責任を本規約で制限しません。
19. 補償
お客様は、顧客コンテンツ、生成サイトまたは公開内容、お客様の製品、サービス、マーケティング上の主張、顧客関係、サービスの利用または誤用、本規約・法令・第三者権利の違反、顧客サイトツールで提出、収集、処理されるデータに起因または関連する請求、損害、責任、損失、費用および支出（合理的な弁護士費用を含む）から、MD5 Labs およびその関連会社、取締役、役員、従業員、請負業者、代理人、ライセンサー、ベンダーを防御、補償し免責するものとします。
20. 停止および終了
お客様はいつでもサービス利用を停止し、製品で利用できる方法または当社への連絡によりアカウントを解約・閉鎖できます。法令または購入フローで示される場合を除き、解約により自動的に返金を受ける権利は生じません。当社は、規約違反、法的・安全上のリスク、未払い、トライアル濫用、運用上の損害、継続が当社または他者をリスクにさらす場合、合理的に必要と判断してアクセスの停止・制限・終了、コンテンツ削除、公開無効化、連携停止を行えます。合理的な通知のうえ、サービスの全部または一部を終了することもできます。終了後、利用権は終了し、終了処理に必要なコンテンツライセンス、AI 出力、支払義務、知的財産、秘密保持、プライバシー、免責、責任制限、補償、紛争解決、一般条項等、性質上存続すべき条項は存続します。
21. DMCA および知的財産に関する苦情
SoaRank 上のコンテンツが著作権その他の知的財産権を侵害すると考える場合、必要な情報を添えて当社までご連絡ください。侵害のおそれのある資料、権利、連絡先、求める措置を特定できる情報を含めてください。当社はコンテンツを削除・無効化し、適切な場合に反復侵害者を終了することがあります。
22. 紛争解決、仲裁および集団訴訟の放棄
紛争はまず当社までご連絡いただき、非公式に解決を試みてください。非公式に解決できない本規約またはサービスから生じる・関連する請求は、少額裁判所に提起できる請求、知的財産、不正アクセス、サービスの誤用に関する差止め・衡平法上の救済を除き、個人単位の拘束力ある仲裁により解決されます。法令が許す範囲で、お客様と MD5 Labs は陪審審理、集団訴訟、集団仲裁、私的検事総長訴訟、代表訴訟への参加を放棄します。仲裁は、別段の合意がない限り、MD5 Labs が選択する商業的に合理的な仲裁規則に基づき中立の仲裁人が英語で行い、仲裁地は米国デラウェア州とします。ただし適用法が別の場所を求める場合を除きます。本条項が特定の請求について執行不能の場合、その請求は法令が求める限度でのみ裁判所に進めます。
23. 準拠法と裁判管轄
適用法が別段の定めをする場合を除き、本規約は抵触法の原則にかかわらずデラウェア州法および適用される米国連邦法に準拠します。仲裁の対象でない請求は、適用法が別の法廷を求める場合を除き、米国デラウェア州所在の州裁判所および連邦裁判所を専属的な管轄および裁判地とします。
24. 本規約の変更
当社は本規約を随時更新できます。発効日が現行版を示します。重要な変更時には、サイト、製品、メールその他適切な手段で通知することがあります。更新規約の発効後も継続して利用することは、適用法に従い更新規約への同意を意味します。同意しない場合は利用を停止してください。
25. 一般条項
合併、買収、企業再編、実質的にすべての資産の売却の一部を除き、当社の書面による事前承諾なく本規約を譲渡できません。当社は合併、買収、資金調達、再編、資産売却または法の運用により本規約を譲渡できます。本規約は代理、パートナーシップ、合弁、雇用、信認またはフランチャイズ関係を作りません。いずれかの規定が執行不能でも、残りは有効です。規定を執行しないことは放棄ではありません。見出しは便宜のためです。本規約、参照ポリシー、適用される注文書または書面契約は、サービスに関するお客様と MD5 Labs の完全な合意です。
