These Subscription & Billing Terms (“Billing Terms”) govern your purchase and use of any paid subscription, plan, or other recurring service offered by SoaRank (“SoaRank,” “we,” “us,” or “our”) through our website, applications, and related services (collectively, the “Service”).
By purchasing or activating a paid subscription, you acknowledge that you have read, understood, and agreed to these Billing Terms, our Terms of Service, and our Privacy Policy.
If you do not agree with these Billing Terms, please do not purchase or activate a paid subscription.
1. Subscription Plans
SoaRank may offer different subscription plans, billing periods, features, usage limits, and pricing.
The specific terms applicable to your subscription—including the plan selected, price, billing frequency, promotional terms, and included features—will be presented to you at the time of purchase.
Your subscription provides access to the features and services included in the plan you select during the applicable subscription period.
We may offer monthly, annual, or other subscription periods. Not all plans or billing periods may be available to all users or at all times.
2. Billing and Payment
When you purchase a paid subscription, you authorize SoaRank and our third-party payment processor to charge your selected payment method for the applicable subscription fees, taxes, and other charges disclosed to you at the time of purchase.
Subscription fees are charged at the beginning of each applicable billing period unless otherwise stated at the time of purchase.
You are responsible for providing accurate and current billing and payment information. If your payment information changes, you should update it promptly through your account or the applicable payment provider.
SoaRank does not generally receive or store your complete payment card information. Payment transactions may be processed by third-party payment providers, whose own terms and privacy policies may also apply.
3. Automatic Renewal
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period for the same subscription period.
For example, a monthly subscription will generally renew every month, and an annual subscription will generally renew every year.
By purchasing a subscription, you authorize us to charge your selected payment method automatically at the beginning of each renewal period unless you cancel your subscription before the renewal date.
The renewal price will generally be the then-current price for your subscription plan, unless otherwise stated in your promotional or subscription terms.
We will provide any notices required by applicable law regarding automatic renewal, changes to subscription fees, or other material changes to your subscription.
4. Free Trials and Promotional Offers
From time to time, SoaRank may offer free trials, discounted introductory periods, promotional pricing, credits, or other special offers.
The specific terms of any free trial or promotional offer will be disclosed at the time you enroll.
Unless otherwise stated, a free trial or promotional subscription that automatically converts to a paid subscription will renew at the then-current regular subscription price after the applicable trial or promotional period ends.
You must cancel before the end of the applicable trial or promotional period to avoid being charged for the next billing period.
A promotional offer may be limited to eligible users, may not be combined with other offers, and may be subject to additional conditions disclosed at the time of enrollment.
5. Cancellation
You may cancel your subscription at any time through the cancellation method made available through your SoaRank account or by contacting us using the support information provided on our website.
We will provide a cancellation process that is reasonably accessible and straightforward.
Cancelling your subscription stops future automatic renewals. Unless otherwise required by applicable law or expressly stated in our Refund Policy, cancellation does not automatically entitle you to a refund of amounts already charged.
Unless otherwise stated, you will continue to have access to the paid features included in your subscription through the end of your current paid billing period.
After the current billing period ends, your subscription will not automatically renew and you will not be charged for subsequent billing periods.
6. Refunds
Unless otherwise required by applicable law, subscription fees are non-refundable once charged.
However, certain refunds may be available under our Refund Policy or where required by applicable law.

We may review billing records and account activity to determine whether a refund is appropriate.
7. Price Changes
SoaRank may change its subscription prices from time to time.
If we increase the price of your subscription, we will provide notice as required by applicable law before the new price becomes effective.
Unless otherwise stated, a price change will apply beginning with your next applicable billing period after the effective date of the change.
If you do not wish to accept a price increase, you may cancel your subscription before the new price becomes effective.
Your continued use of the Service after the new price becomes effective may result in the applicable new price being charged at the next renewal, subject to applicable law and any notice requirements.
8. Taxes
Subscription prices may not include applicable sales, use, value-added, digital services, or other taxes unless expressly stated otherwise.
You are responsible for any taxes applicable to your purchase, except for taxes imposed on SoaRank’s net income.
Where required by applicable law, SoaRank or our payment processor may collect applicable taxes at the time of purchase.
9. Failed or Declined Payments
If a subscription payment is declined, reversed, or otherwise unsuccessful, we may attempt to process the payment again using the payment method associated with your account.
You remain responsible for any unpaid amounts associated with your subscription.
If we are unable to successfully collect payment, we may suspend or restrict access to paid features, downgrade your account, or cancel your subscription, subject to applicable law.
Updating your payment information may allow us to restore access to your subscription.
10. Upgrades and Downgrades
Depending on your subscription plan, SoaRank may allow you to upgrade or downgrade your subscription.
The effective date and billing treatment of a plan change will be disclosed when you make the change.
If an upgrade or downgrade results in a change to the amount you owe, any applicable prorated credit or charge will be handled according to the billing terms presented to you at the time of the change.
Unless otherwise stated, downgrading a subscription will not result in a refund for the unused portion of the current billing period.
Certain plan changes may take effect at the beginning of your next billing period.
11. Subscription Credits and Usage Limits
Certain SoaRank plans may include credits, usage allowances, scans, reports, queries, or other usage-based benefits.
Unless expressly stated otherwise, unused credits or usage allowances do not have cash value and are not transferable, redeemable for cash, or refundable.
Credits and usage allowances may expire or reset according to the terms of the applicable subscription plan.
If your subscription is canceled, expires, or is terminated, any unused credits or usage allowances may become unavailable unless otherwise stated.
12. Billing Disputes and Unauthorized Charges
If you believe a charge is incorrect, unauthorized, duplicated, or otherwise inconsistent with your subscription, please contact us as soon as reasonably possible.
Please include sufficient information for us to identify the relevant account and transaction.
We will review legitimate billing disputes and, where appropriate, correct billing errors or issue refunds in accordance with our policies and applicable law.
Nothing in these Billing Terms limits any rights you may have under applicable consumer protection or payment laws.
13. Third-Party Payment Providers
Payments may be processed by third-party payment providers.
Your use of a third-party payment provider may also be subject to that provider’s terms, conditions, and privacy policies.
SoaRank is not responsible for the independent acts, omissions, security practices, or availability of third-party payment providers, except as required by applicable law.
14. Promotional Pricing
Promotional prices, discounts, introductory rates, coupons, and other special offers may be subject to additional terms.
Unless otherwise stated, a promotional price applies only for the promotional period specified at the time of purchase.
After the promotional period ends, your subscription may automatically renew at the then-current standard price for the applicable plan.
We may limit the availability of promotional offers, eligibility, redemption frequency, or other promotional conditions.
15. Changes to Your Subscription
We may modify, replace, or discontinue subscription plans, features, usage limits, or other aspects of our paid services from time to time.
If a change materially affects your subscription or billing obligations, we will provide notice where required by applicable law.
We may also discontinue a particular subscription plan and, where appropriate, transition affected subscribers to a substantially similar plan or provide other appropriate notice or options.
16. Termination and Suspension
We may suspend or terminate a subscription in accordance with our Terms of Service, including where:
you fail to pay amounts due;
you violate our Terms of Service or other applicable policies;
your use of the Service creates a security, legal, or operational risk; or
we are required to do so by law.
If we terminate your paid subscription without cause before the end of a prepaid billing period, we may provide a prorated refund for the unused portion of that period where appropriate or required by applicable law.
17. No Guarantee of Continuous Availability
A paid subscription provides access to the features included in your selected plan during the applicable subscription period.
However, we do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every device, browser, operating system, or third-party service.

If there is a conflict between these Billing Terms and the terms specifically presented to you at the time of purchase, the purchase-specific terms will control to the extent of the conflict, unless otherwise required by applicable law.
19. Changes to These Billing Terms
We may update these Billing Terms from time to time.
When we make material changes, we may provide notice through the Service, by email, or by other reasonable means, as appropriate.
The updated version will become effective on the date indicated at the beginning of the updated Billing Terms unless otherwise stated.
Your continued use of a paid subscription after the effective date of updated Billing Terms constitutes acceptance of the updated terms to the extent permitted by applicable law.

1. 订阅套餐

在适用的订阅期间，你的订阅可使用所选套餐中包含的功能和服务。

2. 计费与付款
购买付费订阅时，你授权 SoaRank 和我们的第三方支付处理方从你选择的付款方式收取适用的订阅费、税费及购买时向你披露的其他费用。
除非购买时另有说明，订阅费会在每个适用计费周期开始时收取。
你负责提供准确且最新的账单和付款信息。如果付款信息发生变化，应通过账户或适用的支付服务商及时更新。
SoaRank 通常不会接收或保存你的完整支付卡信息。支付交易可能由第三方支付服务商处理，其自身条款和隐私政策也可能适用。
3. 自动续费
除非购买时另有说明，付费订阅会在每个计费周期结束时按相同的订阅周期自动续费。
例如，月度订阅通常每月续费，年度订阅通常每年续费。
购买订阅即表示你授权我们在每个续费周期开始时自动从所选付款方式扣款，除非你在续费日之前取消订阅。
除非你的促销或订阅条款另有说明，续费价格通常为届时适用于该订阅套餐的价格。
对于自动续费、订阅费变更或订阅的其他重大变更，我们会按照适用法律提供所要求的通知。
4. 免费试用和促销优惠
SoaRank 可能不时提供免费试用、折扣入门期、促销价格、额度或其他特别优惠。
任何免费试用或促销优惠的具体条款会在你注册时披露。
除非另有说明，自动转换为付费订阅的免费试用或促销订阅，会在适用的试用或促销期结束后按届时的常规订阅价格续费。
你必须在适用的试用或促销期结束前取消，才能避免下一计费周期被收费。
促销优惠可能仅限符合条件的用户，不能与其他优惠叠加，并可能受注册时披露的附加条件约束。
5. 取消
你可以随时通过 SoaRank 账户提供的取消方式，或使用网站提供的支持信息联系我们来取消订阅。
我们会提供合理易用且清晰直接的取消流程。
取消订阅会停止未来的自动续费。除非适用法律另有要求或退款政策明确规定，取消不会自动使你有权获得已经收取款项的退款。
除非另有说明，你可以继续使用订阅中包含的付费功能，直至当前已付费计费周期结束。
当前计费周期结束后，订阅不会自动续费，你也不会被收取后续计费周期的费用。
6. 退款
除非适用法律另有要求，订阅费一经收取即不可退款。
但是，退款政策规定的退款，或适用法律要求的退款，可能仍然适用。

我们可能审查计费记录和账户活动，以判断是否适合退款。
7. 价格变更
SoaRank 可能不时调整订阅价格。
如果我们提高你的订阅价格，会在新价格生效前按照适用法律的要求提供通知。
除非另有说明，价格变更会从变更生效日之后的下一个适用计费周期开始适用。
如果你不希望接受涨价，可以在新价格生效前取消订阅。
新价格生效后继续使用服务，可能导致下次续费按适用的新价格收费，但须遵守适用法律和任何通知要求。
8. 税费
除非明确另有说明，订阅价格可能不包含适用的销售税、使用税、增值税、数字服务税或其他税费。
除针对 SoaRank 净收入征收的税费外，你负责承担适用于购买的任何税费。
适用法律要求时，SoaRank 或我们的支付处理方可能在购买时收取适用税费。
9. 付款失败或被拒
如果订阅付款被拒、撤销或以其他方式未成功，我们可能使用与你账户关联的付款方式再次尝试处理付款。
你仍负责支付与你订阅相关的任何未付款项。
如果我们无法成功收款，在遵守适用法律的前提下，我们可能暂停或限制付费功能访问、降低你的账户等级或取消订阅。
更新付款信息可能使我们能够恢复你的订阅访问权限。
10. 升级与降级
根据你的订阅套餐，SoaRank 可能允许你升级或降级订阅。
套餐变更的生效日期和计费处理方式会在你进行变更时披露。
如果升级或降级导致应付金额发生变化，任何适用的按比例计算的抵扣或收费，将按照变更时向你展示的计费条款处理。
除非另有说明，订阅降级不会导致当前计费周期未使用部分获得退款。
某些套餐变更可能在你的下一个计费周期开始时生效。
11. 订阅额度和使用限额
某些 SoaRank 套餐可能包含额度、使用配额、扫描、报告、查询或其他按使用量计算的权益。
除非明确另有说明，未使用的额度或使用配额没有现金价值，不得转让、兑换现金或退款。
额度和使用配额可能按照适用订阅套餐的条款到期或重置。
如果你的订阅被取消、到期或终止，任何未使用的额度或使用配额可能无法继续使用，除非另有说明。
12. 计费争议和未经授权的扣款
如果你认为某笔扣款不正确、未经授权、重复收取或与订阅不一致，请在合理可行的情况下尽快联系我们。
请提供足够的信息，以便我们识别相关账户和交易。
我们会审查合理的计费争议，并在适当时根据我们的政策和适用法律纠正计费错误或发放退款。
本计费条款不限制你根据适用的消费者保护法或支付法可能享有的任何权利。
13. 第三方支付服务商
付款可能由第三方支付服务商处理。
你使用第三方支付服务商还可能受其条款、条件和隐私政策约束。
除适用法律要求外，SoaRank 不对第三方支付服务商独立实施的行为、不作为、安全实践或可用性负责。
14. 促销价格
促销价格、折扣、入门价格、优惠券及其他特别优惠可能受附加条款约束。
除非另有说明，促销价格仅适用于购买时规定的促销期间。
促销期结束后，你的订阅可能按适用套餐届时的标准价格自动续费。
我们可能限制促销优惠的可用性、资格、兑换频率或其他促销条件。
15. 订阅变更
我们可能不时修改、替换或停止订阅套餐、功能、使用限额或付费服务的其他方面。
如果变更对你的订阅或计费义务产生重大影响，我们会在适用法律要求时提供通知。
我们也可能停止某一订阅套餐，并在适当情况下将受影响的订阅用户转移到实质相似的套餐，或提供其他适当的通知或选择。
16. 终止和暂停
我们可以根据服务条款暂停或终止订阅，包括在以下情况下：
你未支付到期款项；
你违反服务条款或其他适用政策；
你使用服务造成安全、法律或运营风险；或
法律要求我们这样做。
如果我们在预付计费周期结束前无正当理由终止你的付费订阅，在适当或适用法律要求时，我们可能按比例退还该周期未使用部分的费用。
17. 不保证持续可用
付费订阅可让你在适用订阅期间使用所选套餐中包含的功能。
但是，我们不保证服务始终可用、不间断、无错误，或兼容每台设备、浏览器、操作系统或第三方服务。

有料サブスクリプションを購入または有効化することにより、お客様は本請求条件、利用規約およびプライバシーポリシーを読み、理解し、同意したことを確認します。
本請求条件に同意しない場合は、有料サブスクリプションを購入または有効化しないでください。
1. サブスクリプションプラン
SoaRank は複数のサブスクリプションプラン、請求期間、機能、利用上限および価格を提供する場合があります。
選択したプラン、価格、請求頻度、プロモーション条件、含まれる機能など、サブスクリプションに適用される具体的な条件は、購入時に表示されます。
サブスクリプション期間中、選択したプランに含まれる機能およびサービスを利用できます。
月額、年額その他のサブスクリプション期間を提供する場合があります。すべてのプランまたは期間が、すべてのユーザーまたは常に利用できるとは限りません。
2. 請求および支払い
有料サブスクリプションを購入すると、お客様は、購入時に表示されたサブスクリプション料金、税金その他の料金を、選択した支払方法に請求することを当社および第三者決済処理者に許可します。
購入時に別段の表示がない限り、料金は各請求期間の開始時に請求されます。
正確かつ最新の請求情報および支払情報を提供する責任はお客様にあります。支払情報が変更された場合は、アカウントまたは該当する決済事業者を通じて速やかに更新してください。
当社は通常、完全な決済カード情報を受領または保存しません。決済取引は第三者決済事業者が処理する場合があり、その事業者の条件およびプライバシーポリシーも適用されることがあります。
3. 自動更新
購入時に別段の表示がない限り、有料サブスクリプションは各請求期間の終了時に同じ期間で自動更新されます。
たとえば、月額サブスクリプションは通常毎月、年額サブスクリプションは通常毎年更新されます。
サブスクリプションを購入すると、お客様が更新日前に解約しない限り、各更新期間の開始時に選択した支払方法へ自動請求することを当社に許可したことになります。

4. 無料トライアルおよびプロモーション
SoaRank は随時、無料トライアル、割引導入期間、プロモーション価格、クレジットその他の特典を提供する場合があります。
無料トライアルまたはプロモーションの具体的な条件は、登録時に開示します。
別段の定めがない限り、有料サブスクリプションへ自動移行する無料トライアルまたはプロモーションサブスクリプションは、期間終了後、その時点の通常価格で更新されます。
次の請求期間の請求を避けるには、該当するトライアルまたはプロモーション期間の終了前に解約する必要があります。
プロモーションは対象ユーザーに限られ、他のオファーと併用できず、登録時に開示する追加条件の対象となる場合があります。
5. 解約
SoaRank アカウントで利用できる解約方法、またはウェブサイトに掲載されたサポート情報を使用して当社に連絡することにより、いつでも解約できます。
当社は、合理的に利用しやすく明確な解約手続きを提供します。
解約すると将来の自動更新が停止します。適用法令または返金ポリシーに別段の定めがない限り、既に請求された金額が自動的に返金されることはありません。
別段の表示がない限り、現在の支払済み請求期間の終了まで、サブスクリプションに含まれる有料機能を利用できます。
現在の請求期間が終了すると更新されず、その後の請求期間について料金は請求されません。
6. 返金
適用法令が別途要求する場合を除き、請求済みのサブスクリプション料金は返金されません。
ただし、返金ポリシーに基づく返金または適用法令が要求する返金が利用できる場合があります。
適格性、返金請求および期限については、返金ポリシーをご確認ください。
誤って請求されたと思われる場合は、速やかに以下へご連絡ください。

返金が適切か判断するため、請求記録およびアカウント利用状況を確認する場合があります。
7. 価格変更
SoaRank はサブスクリプション価格を随時変更する場合があります。
価格を引き上げる場合、新価格の発効前に適用法令が求める通知を行います。
別段の定めがない限り、価格変更は発効日後の次の請求期間から適用されます。
値上げを受け入れない場合、新価格の発効前に解約できます。
新価格の発効後も本サービスを利用すると、適用法令および通知要件に従い、次回更新時に新価格が請求されることがあります。
8. 税金
別段明示されない限り、サブスクリプション価格には売上税、使用税、付加価値税、デジタルサービス税その他の税金が含まれない場合があります。
SoaRank の純所得に課される税金を除き、購入に適用される税金はお客様が負担します。
適用法令が求める場合、当社または決済処理者が購入時に税金を徴収することがあります。
9. 支払いの失敗または拒否
支払いが拒否、取り消しその他の理由で失敗した場合、アカウントに関連付けられた支払方法で再度処理を試みることがあります。
サブスクリプションに関する未払い額を支払う責任はお客様に残ります。
支払いを回収できない場合、適用法令に従い、有料機能へのアクセスを停止・制限し、アカウントをダウングレードし、またはサブスクリプションを解約することがあります。
支払情報を更新することで、サブスクリプションへのアクセスが回復する場合があります。
10. アップグレードおよびダウングレード
サブスクリプションプランに応じて、アップグレードまたはダウングレードを認める場合があります。
プラン変更の発効日および請求上の扱いは、変更時に開示します。
変更により支払額が変わる場合、日割りのクレジットまたは請求は、変更時に表示された請求条件に従って処理されます。
別段の定めがない限り、ダウングレードにより現在の請求期間の未使用分が返金されることはありません。
一部のプラン変更は、次の請求期間の開始時に効力を生じます。
11. サブスクリプションクレジットおよび利用上限
一部のプランには、クレジット、利用枠、スキャン、レポート、クエリその他の従量制の特典が含まれる場合があります。
明示的な定めがない限り、未使用クレジットや利用枠に現金価値はなく、譲渡、現金化または返金できません。
クレジットおよび利用枠は、適用プランの条件に従って失効またはリセットされる場合があります。
サブスクリプションが解約、満了または終了した場合、別段の定めがない限り、未使用分は利用できなくなることがあります。
12. 請求に関する紛争および未承認請求
請求が不正確、未承認、重複またはサブスクリプションと不一致だと思われる場合は、合理的に可能な限り速やかにご連絡ください。
該当するアカウントと取引を特定できる十分な情報を含めてください。
正当な請求紛争を確認し、適切な場合は当社のポリシーと適用法令に従って誤請求を訂正または返金します。
本請求条件は、消費者保護法または決済法に基づきお客様が有する権利を制限しません。
13. 第三者決済事業者
支払いは第三者決済事業者が処理する場合があります。
第三者決済事業者の利用には、その条件、規約およびプライバシーポリシーも適用される場合があります。
適用法令が要求する場合を除き、第三者決済事業者の独立した行為、不作為、安全対策または可用性について当社は責任を負いません。
14. プロモーション価格
プロモーション価格、割引、導入価格、クーポンその他の特典には追加条件が適用される場合があります。
別段の定めがない限り、プロモーション価格は購入時に指定された期間だけ適用されます。
プロモーション期間終了後、適用プランの当時の通常価格で自動更新される場合があります。
プロモーションの提供、適格性、利用回数その他の条件を制限することがあります。
15. サブスクリプションの変更
当社は、サブスクリプションプラン、機能、利用上限その他の有料サービスを随時変更、置換または終了する場合があります。
変更がサブスクリプションまたは請求義務に重大な影響を与える場合、適用法令が求めるときに通知します。
特定のプランを終了し、適切な場合には影響を受ける加入者を実質的に類似するプランへ移行するか、その他の通知または選択肢を提供することがあります。
16. 終了および停止
以下を含め、利用規約に従ってサブスクリプションを停止または終了することがあります。
支払期日までに支払わない場合。
利用規約その他の適用ポリシーに違反した場合。
本サービスの利用が安全、法的または運用上のリスクを生じさせる場合。
法令により必要とされる場合。
前払い請求期間の終了前に正当な理由なく有料サブスクリプションを終了した場合、適切または適用法令が要求する範囲で未使用期間を日割りで返金することがあります。
17. 継続的な可用性の保証なし
有料サブスクリプションにより、該当する期間中、選択したプランの機能を利用できます。
ただし、本サービスが常に利用可能、中断なし、エラーなし、またはすべてのデバイス、ブラウザ、OS、第三者サービスと互換であることは保証しません。
追加の制限および免責は利用規約に記載されています。

19. 本請求条件の変更
本請求条件は随時更新される場合があります。
重大な変更を行う場合、必要に応じて本サービス、メールその他合理的な方法で通知することがあります。
別段の定めがない限り、更新版は更新後の請求条件の冒頭に示す日付に発効します。
適用法令が許す範囲で、更新後の発効日以降に有料サブスクリプションを継続利用することは、更新された条件への同意を意味します。
